Order processing times and estimated shipping or delivery dates are estimates unless we expressly state otherwise. Actual delivery times may vary depending on product availability, order volume, destination, carrier operations, weather conditions, holidays, customs processing, and other circumstances outside our reasonable control.

We will make reasonable efforts to process and ship orders within the timeframes communicated to you. If we are unable to ship an order within an applicable promised timeframe, we will provide any notice, cancellation option, or refund required by applicable law.

Once an order has been provided to the shipping carrier, delivery is generally subject to the carrier's operations and policies. Running Gear Parts Inc. is not responsible for carrier delays or delivery disruptions caused by circumstances outside our reasonable control. However, this does not limit any rights you may have under applicable law or our policies regarding lost, damaged, missing, or incorrectly delivered shipments.

You are responsible for providing a complete and accurate shipping address and other delivery information. Running Gear Parts Inc. is not responsible for delays, additional shipping charges, or delivery failures resulting from incorrect or incomplete information provided by you. If a shipment is returned to us because of an incorrect or undeliverable address, additional shipping charges may apply before the order can be reshipped.

For orders designated for in-store pickup, you are responsible for collecting the order from the specified Running Gear Parts location after receiving confirmation that the order is ready for pickup. Orders placed through an Agent remain subject to these Terms, including provisions relating to product specifications, fitment and compatibility, pricing, payment, order acceptance, shipping, returns, and cancellations.

Running Gear Parts Inc. may require additional verification before accepting or fulfilling a transaction initiated through an Agent where reasonably necessary to prevent fraud, unauthorized transactions, errors, or security risks.

Termination or suspension of your access to the Services does not affect any rights, obligations, liabilities, orders, payments, refunds, returns, warranties, or other matters that arose before the effective date of termination. Any provisions of these Terms that by their nature are intended to survive termination will remain in effect following termination, including provisions relating to Intellectual Property, User Content, Reviews and Feedback, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver, Entire Agreement, Assignment, Governing Law, Dispute Resolution, Privacy, and any accrued rights or obligations.

DOES NOT WARRANT THAT THE WEBSITE OR SERVICES WILL AT ALL TIMES BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM TECHNICAL FAILURES, VIRUSES, OR OTHER HARMFUL COMPONENTS.

We may temporarily suspend or restrict access to portions of the Services for maintenance, security, technical, operational, or other reasonable purposes.

Product Warranties

Products sold through RunningGearParts.com may be subject to warranties provided by Running Gear Parts Inc., the applicable manufacturer, supplier, or other warrantor, as identified in the applicable product documentation, product listing, or Warranty Policy.

Any express written warranty applicable to a product will be governed by its stated terms and applicable law. Nothing in these Terms is intended to eliminate, disclaim, modify, or restrict any warranty, consumer right, or remedy that cannot lawfully be excluded or limited.

Except for warranties expressly provided in writing and to the maximum extent permitted by applicable law, Running Gear Parts Inc. does not make additional warranties beyond those expressly stated with respect to a particular product.

Any product expressly sold and clearly identified as “AS IS,” “WITH ALL FAULTS,” clearance, used, damaged, open-box, or similar condition will be subject to the specific terms disclosed at the time of sale and applicable law.

Fitment and Intended Use

We do not warrant that every product is suitable for every trailer, axle, towing system, vehicle, or application. Compatibility may depend on specifications including axle capacity, spindle dimensions, bearing and seal sizes, bolt pattern, mounting dimensions, load requirements, and other system characteristics.

A product's stated capacity, rating, or specification applies only to that product and does not increase the rated capacity of the trailer, axle, suspension system, towing system, or other components with which it is used.

No warranty applies to damage or failure to the extent caused by misuse, abuse, improper installation, improper modification, failure to maintain the product, use outside stated specifications, or other causes excluded under an applicable written warranty, subject in all cases to applicable law.

SOME STATES OR JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES. ACCORDINGLY, SOME OF THE DISCLAIMERS OR LIMITATIONS IN THIS SECTION MAY NOT APPLY TO YOU, AND YOU MAY HAVE ADDITIONAL RIGHTS UNDER APPLICABLE LAW.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RUNNING GEAR PARTS INC., AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, SERVICE PROVIDERS, AND LICENSORS (COLLECTIVELY, THE “RUNNING GEAR PARTS PARTIES”), WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF BUSINESS OPPORTUNITY, LOSS OF USE, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF THE SERVICES OR A TRANSACTION CONDUCTED THROUGH THE SERVICES, EVEN IF THE POSSIBILITY OF SUCH DAMAGES HAS BEEN ADVISED OR WAS REASONABLY FORESEEABLE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FOR CLAIMS ARISING OUT OF A PRODUCT PURCHASE THAT DO NOT INVOLVE PERSONAL INJURY, DEATH, PROPERTY DAMAGE, FRAUD, GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR OTHER LIABILITY THAT CANNOT LAWFULLY BE LIMITED, THE AGGREGATE LIABILITY OF THE RUNNING GEAR PARTS PARTIES WILL NOT EXCEED THE AMOUNT YOU PAID TO RUNNING GEAR PARTS INC. FOR THE PRODUCT OR PRODUCTS GIVING RISE TO THE CLAIM.

The limitations in this Section apply regardless of the legal theory on which a claim is based, including contract, warranty, negligence, tort, or otherwise, but only to the extent permitted by applicable law.

Nothing in these Terms is intended to exclude, restrict, or limit liability for:

(a) death, personal injury, or property damage to the extent such liability cannot lawfully be excluded or limited;

(b) fraud, fraudulent misrepresentation, gross negligence, willful misconduct, or intentional wrongdoing;

(c) obligations arising under an applicable express written warranty to the extent such obligations cannot lawfully be limited;

(d) rights or remedies available under applicable consumer protection, product liability, or other laws that cannot lawfully be waived, excluded, or limited; or

(e) any other liability that applicable law prohibits us from excluding or limiting.

Nothing in this Section limits your rights under our Refund Policy, Warranty Policy, or any express written warranty applicable to a product.

To the maximum extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Running Gear Parts Inc., and its directors, officers, employees, affiliates, agents, contractors, service providers, and licensors (collectively, the “Running Gear Parts Parties”), from and against third-party claims, actions, proceedings, liabilities, damages, losses, judgments, costs, and reasonable attorneys’ fees arising out of or relating to:

(a) your material breach of these Terms or any policy expressly incorporated into these Terms;

(b) your violation of applicable law or regulation;

(c) your infringement, misappropriation, or violation of the intellectual property, privacy, publicity, or other legal rights of a third party;

(d) User Content submitted or provided by you that violates these Terms or the rights of a third party; or

(e) your fraudulent, unlawful, malicious, or unauthorized use of the Services.

Your indemnification obligations apply only to the extent that the applicable claim, loss, or liability results from your conduct described above.

Running Gear Parts Inc. will provide you with reasonable notice of any claim for which indemnification is sought, provided that a delay in providing notice will not relieve you of your obligations under this Section except to the extent you are materially prejudiced by the delay.

Running Gear Parts Inc. may, at its option, control the defense of an indemnified claim using counsel reasonably selected by us. You agree to reasonably cooperate in the defense, including by providing relevant information or documents in your possession or control.

We will not settle an indemnified claim in a manner that requires you to admit wrongdoing, assume material non-monetary obligations, or make payments beyond your indemnification obligations under this Section without your consent, which will not be unreasonably withheld or delayed.

Nothing in this Section requires you to indemnify any Running Gear Parts Party for claims, losses, or liabilities to the extent caused by that party’s own fraud, gross negligence, willful misconduct, violation of applicable law, breach of these Terms, or other liability that cannot lawfully be shifted to you.

Nothing in this Section is intended to waive, restrict, or limit any consumer right or remedy that cannot lawfully be waived, restricted, or limited under applicable law.

SECTION 19 - SEVERABILITY

If any provision of these Terms is determined by a court or other competent authority to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by applicable law. To the extent it cannot be enforced, the invalid or unenforceable portion will be deemed severed from these Terms.

Any such determination will not affect the validity or enforceability of the remaining provisions of these Terms, which will continue in full force and effect.

 

SECTION 20 - WAIVER; ENTIRE AGREEMENT

Our failure or delay in exercising or enforcing any right, remedy, or provision under these Terms will not constitute a waiver of that right, remedy, or provision. A waiver of any provision of these Terms will apply only to the specific circumstances for which the waiver is given and will not constitute a continuing or future waiver unless expressly stated otherwise.

These Terms, together with our Privacy Policy, Refund Policy, Shipping Policy, Warranty Policy, and any other policies or terms expressly incorporated by reference, constitute the entire agreement between you and Running Gear Parts Inc. regarding your access to and use of the Services and supersede any prior or contemporaneous agreements, communications, representations, or understandings relating to the same subject matter, whether oral or written.

Notwithstanding the foregoing, any product-specific written warranty, order-specific terms, promotional terms, or other terms expressly provided by Running Gear Parts Inc. in connection with a particular product, order, or promotion will continue to apply to the extent applicable. If such specific terms conflict with these Terms, the more specific terms will govern with respect to the applicable product, order, or promotion.

Nothing in this Section limits any rights or remedies that cannot lawfully be waived, excluded, or limited under applicable law.

You may not assign, transfer, delegate, or otherwise transfer these Terms, your account, or any of your rights or obligations under these Terms without the prior written consent of Running Gear Parts Inc. We may also assign or delegate certain rights or obligations to our affiliates, service providers, payment processors, fulfillment providers, or other contractors where reasonably necessary to operate the Services or fulfill our obligations to you.

Any assignment by Running Gear Parts Inc. will remain subject to applicable law and will not eliminate any rights or remedies that you have already acquired under these Terms, an applicable order, written warranty, or applicable law.

These Terms and any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or any purchase made through RunningGearParts.com will be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict-of-laws principles, except to the extent otherwise required by applicable law.

Subject to any rights or remedies that cannot lawfully be waived or limited, any legal action or proceeding arising out of or relating to these Terms, the Services, or a transaction with Running Gear Parts Inc. shall be brought in the state courts located in Travis County, Texas, or, where federal jurisdiction exists, in the applicable United States federal court having jurisdiction over Travis County, Texas.

You and Running Gear Parts Inc. consent to the personal jurisdiction of such courts and, to the extent permitted by applicable law, waive any objection to venue in such courts.

Nothing in this Section is intended to deprive you of any consumer protection right, remedy, or protection that cannot lawfully be waived or limited under applicable law.
